Terms of Service

Welcome to Artopia! These Terms of Service ("Terms") govern your access to and use of Artopia's art collection management platform (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.
Important: Artopia is currently in beta testing. The Service is provided free of charge during this beta phase, but may transition to a paid subscription model in the future. Please read Section 4 (Beta Service Status) and Section 8 (Future Pricing) carefully.
1. Acceptance of Terms
By accessing or using Artopia, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Artopia provides a cloud-based platform for managing art collections. The Service allows you to upload artwork images, organize collection data, create inventories, track provenance, manage sales pipelines, and share collection information with others. Features may be added, modified, or removed during the beta phase without prior notice.
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Security
You must notify us immediately of any unauthorized access to your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.
3.3 Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or misuse the Service. You may delete your account at any time through the account settings.
4. Beta Service Status
4.1 Beta Testing
Artopia is currently in beta testing. This means:
The Service is provided "as-is" and may contain bugs, errors, or incomplete features
Features may change, break, or be discontinued without notice
Service availability is not guaranteed
Data loss may occur, though we implement reasonable backup measures
4.2 Your Responsibilities During Beta
You acknowledge that you are participating in beta testing at your own risk. We strongly recommend:
Maintaining backup copies of all artwork images and collection data
Not using the Service as your sole repository for critical information
Providing feedback to help us improve the Service
4.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time during the beta phase. We may also limit the number of users, impose usage restrictions, or close the beta program entirely.
5. User Content and Intellectual Property
5.1 Your Content
You retain all ownership rights to the content you upload to Artopia, including artwork images, descriptions, and collection data ("User Content"). By uploading User Content, you represent and warrant that:
You own or have the necessary rights to upload and share the content
Your content does not infringe on the intellectual property rights of others
Your content does not violate any applicable laws or regulations
5.2 License to Us
By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to store, display, process, and transmit your content solely for the purpose of providing the Service to you. We will never use your artwork images for marketing, promotional purposes, or any other purpose without your explicit written permission.
5.3 Content Deletion
When you delete content or close your account, we will remove your User Content from our active systems within 30 days. Backup copies may persist for a limited time as part of our data recovery processes, but will not be accessible or used.
5.4 Prohibited Content
You may not upload content that is illegal, fraudulent, defamatory, obscene, contains malware, infringes on intellectual property rights, or violates any applicable law. We reserve the right to remove such content and suspend your account.
6. Acceptable Use
You agree not to:
Use the Service for any illegal or unauthorized purpose
Attempt to gain unauthorized access to the Service or other users' accounts
Upload viruses, malware, or any code designed to disrupt the Service
Reverse engineer, decompile, or attempt to extract the source code of the Service
Use automated systems (bots, scrapers) to access the Service without permission
Resell, lease, or redistribute the Service to third parties
Interfere with or disrupt the Service or servers
7. Data Export and Portability
You may export your collection data at any time through the Service's export functionality. If the Service transitions to a paid model and you choose not to subscribe, we will provide you with a reasonable opportunity (at least 30 days) to export your data before your account is closed.
8. Future Pricing and Transition to Paid Service
8.1 Beta Pricing
During the beta phase, the Service is provided free of charge. No payment information is required, and you will not be charged for using Artopia during beta.
8.2 Introduction of Paid Plans
We reserve the right to introduce paid subscription plans in the future. If we do so, we will:
Provide at least 60 days' advance notice via email
Clearly communicate pricing, features, and payment terms
Give you the option to subscribe or export your data
Update these Terms to include subscription and billing terms
8.3 Beta User Benefits
As a beta user, you may be eligible for special pricing, extended trial periods, or grandfathered benefits when paid plans are introduced. Details will be communicated when pricing is announced.
9. Limitation of Liability and Disclaimers
9.1 "As-Is" Service
The Service is provided "as-is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
9.2 No Liability for Artwork
Artopia is a digital management tool only. We are not responsible for the authenticity, valuation, condition, insurance, or physical safety of any artwork. We are not art appraisers, conservators, or insurers. Any information you input regarding artwork value, provenance, or condition is your responsibility to verify.
9.3 Limitation of Damages
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
9.4 Maximum Liability
Our total liability to you for any claims arising from or related to the Service shall not exceed €100 or the amount you paid us in the 12 months prior to the claim, whichever is greater.
10. Indemnification
You agree to indemnify and hold harmless Artopia, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
Your use of the Service
Your User Content
Your violation of these Terms
Your violation of any third-party rights
11. Privacy and Data Protection
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with GDPR. By using the Service, you consent to our Privacy Policy.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or through a prominent notice in the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may delete your account.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Estonia, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Estonia. However, we encourage you to contact us first to resolve any issues informally.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Artopia regarding the Service and supersede all prior agreements and understandings.
